You are responsible for maintaining the confidentiality of your membership login credentials, and for all activities that occur under your membership account. If you suspect that your membership login credentials have been compromised, you must notify us immediately.

We reserve the right to terminate your membership or access to the MGMClub at any time, for any reason or no reason, in our sole discretion.

Membership fees may apply to access certain areas of the MGMClub or use certain features or services. You agree to pay all fees and charges associated with your membership, and authorize us to charge your payment method on file for such fees.

We may change our fees at any time by posting a notice on the MGMClub or by sending you an email. Your continued use of the MGMClub or membership after any such changes indicates your acceptance of the updated fees.

 

Intellectual Property

THE MGMCLUB AND ALL CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT THE MGMCLUB OR ANY CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT.

 

Limitation of Liability

 

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE MGMCLUB OR ANY CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE MGMCLUB OR ANY CONTENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR YOUR MEMBERSHIP WITH US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

 

Indemnification

 

You agree to indemnify, defend, and hold us and our affiliates, officers, directors, agents, employees, and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the MGMClub or any content, your violation of these Terms, or your violation of any rights of another.

 

Termination

 

We may terminate your membership and access to the MGMClub at any time, for any reason or no reason, in our sole discretion. Upon termination, you must immediately stop using the MGMClub and all content.

 

General

 

These Terms constitute the entire agreement between you and MGMCLUB with respect to the MGMClub and your membership, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

 

Governing Law and Jurisdiction

 

These Terms shall be governed by and construed in accordance with the laws of the state of Nevada, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the MGMClub shall be brought exclusively in the federal or state courts located in US, NV, and you consent to the jurisdiction of such courts.
